Applied DNA Signs Term Sheet for $5m Deal with Cannabis Consultancy
Applied DNA’s CertainT Platform to Power TheraCann’s ETCH BioTrace Seed-to-Sale Tracking System
STONY BROOK, N.Y., and PANAMA CITY, PANAMA (February 12, 2019) – Applied DNA Sciences Inc. (NASDAQ: APDN) (“Applied DNA,” or “the Company”), a leader in PCR-based DNA manufacturing for product authenticity and traceability solutions, and TheraCann International Benchmark Corporation (“TheraCann”), a leading global full-service legal cannabis and hemp consultancy, announced today that they have entered into a non-binding Term Sheet (the “Term Sheet”) for a long term exclusive licensing agreement for the use of Applied DNA’s proprietary CertainT® supply chain integrity platform technology within TheraCann’s ETCH BioTrace® seed-to-sale tracking system. The Term Sheet is expected to be followed by a definitive agreement (the “Agreement”).
Upon a signed Agreement TheraCann will pay to Applied DNA $5.0 million in non-contingent phased payments over a period of six (6) months from the date of the signing of the Agreement. In addition, Applied DNA will be the exclusive supplier of SigNature® molecular tags, molecular tag application systems and molecular tag authentication systems to TheraCann for use within TheraCann’s ETCH Biotrace system. The term of the exclusive license to TheraCann is patent term for patented aspects, and 20 years for non-patented components.

Applied DNA Sciences uses a system of molecular tagging to assign a secure identity to products and materials. Their molecular DNA-based identification system is versatile and can be deployed and verified at any point in the supply chain.
Starting out as a cash security technology, Applied DNA’s process has been tested and proven effective. For cash box security, the molecular tag will be sprayed along with a dye in the event of a crime. With the individualized tag sprayed onto the criminal, the unique molecular tag is usable in court as evidence to convict the criminal.

The OR (Outdoor Retailer) show moved from Salt Lake City, Utah to Denver Colorado for the first time this past January.
Denver put on a show!! Industry leaders in outdoor such as The North Face, Patagonia, Adidas, Helly Hansen, Obermeyer / Spyder etc, showcased the newest in product, innovation and Technology.
ADNAS had the opportunity and invitation to meet with Jeff Dorton and The North Face innovation team. This included invitation into there largest release of breathable membrane fabrics (Showcased at CES). The obvious growth in the Outdoor Space, is lighter weight shell, with lightweight fill, innovated gridded fleece, base layer and smart technology.
There was great enthusiasm for the use of DNA for IP and Counterfeit Protection as well as Supply Chain tractability. Textiles team, continues focusing on the best in class and added value propositions in the Sportswear arena.
